These Terms of Service ("Terms") govern your access to and use of topspyn.com (the "Site") and your purchase of any products from TOPSPYN LLC ("TOPSPYN," "we," "us"). By visiting the Site or placing an order, you agree to these Terms. If you don't agree, don't use the Site.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to place an order. By placing an order, you represent that you meet this requirement and that all information you submit is accurate.

2. Products and orders

We try to make sure product descriptions, images, and pricing on the Site are accurate, but we don't warrant that descriptions, images, or other content is error-free. Colors may appear differently depending on your screen. Sizing is based on the measurements provided in our sizing guide; individual fit may vary.

Your order is an offer to purchase; we're not bound to accept it. We reserve the right to refuse or cancel any order at our discretion — for example, in the case of pricing errors, product unavailability, or suspected fraud. If your card has been charged for a refused order, we'll issue a full refund.

3. Pricing and payment

All prices on the Site are in US dollars and exclude taxes (where applicable, calculated at checkout). We may change prices at any time without notice. Payment is processed by our payment providers; you authorize us to charge your selected payment method for the total order amount.

4. Shipping, returns, and refunds

Shipping, delivery times, returns, and refunds are governed by our Shipping Policy and Refund Policy, which are incorporated into these Terms by reference.

5. Not a medical device

TOPSPYN braces are performance products designed for active play. They are not medical devices, are not FDA cleared, and are not intended to diagnose, treat, cure, or prevent any injury, disease, or medical condition. They are not a substitute for professional medical advice, diagnosis, or treatment. If you have a knee injury, chronic condition, or other medical concern, consult a licensed healthcare provider before using a TOPSPYN brace. Stop using the brace and seek medical attention if you experience pain, swelling, numbness, or other adverse symptoms.

6. Intellectual property

The Site and all content on it — including text, graphics, logos, icons, images, audio, video, and software — is the property of TOPSPYN LLC or its licensors and is protected by US and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, distribute, transmit, display, publish, sell, or create derivative works of any part of the Site without our prior written consent.

"TOPSPYN" and the TOPSPYN logo are trademarks of TOPSPYN LLC. Other trademarks shown on the Site are the property of their respective owners.

7. User-generated content

If you submit reviews, photos, comments, or other content to the Site or to TOPSPYN's social channels, you grant TOPSPYN a non-exclusive, royalty-free, worldwide, perpetual, transferable, sublicensable license to use, reproduce, modify, distribute, and display that content in connection with our marketing and business. You represent that you own or have the rights to any content you submit and that it doesn't violate any third party's rights.

We reserve the right to remove any user content at our discretion, with or without notice.

8. Prohibited uses

You agree not to use the Site to: violate any law; infringe anyone else's rights; transmit viruses, malware, or harmful code; scrape or crawl the Site beyond normal browsing; attempt to gain unauthorized access to any part of the Site or related systems; impersonate any person or entity; or otherwise interfere with the proper operation of the Site.

9. Disclaimers

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TOPSPYN DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE SITE AND THE PRODUCTS AT YOUR OWN RISK.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPSPYN LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

TOPSPYN'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR ANY PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TOPSPYN IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) $100 USD.

Some jurisdictions don't allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless TOPSPYN LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any third-party rights.

12. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict-of-law principles. The exclusive venue for any dispute arising out of or relating to these Terms or your use of the Site will be the state or federal courts located in Pinellas County, Florida, and you consent to the personal jurisdiction of those courts.

13. Informal dispute resolution

Before filing any formal claim, you agree to first contact us at support@topspyn.com and provide a brief description of the dispute and your contact information. We'll attempt to resolve the dispute informally within 30 days of receiving your notice.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date below reflects the most recent change. If we make material changes, we'll notify you by email or by posting a notice on the Site. Your continued use of the Site after the changes take effect constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16. Entire agreement

These Terms, together with the Privacy Policy, Shipping Policy, and Refund Policy, constitute the entire agreement between you and TOPSPYN regarding the Site and your purchase of any products, and supersede all prior or contemporaneous agreements and understandings.
